Simply speaking, Australian public companies must have a company secretary. ASX-listed entities must also have a person responsible for communication with ASX in relation to listing rule matters.

Australian public companies must have at least 1 company secretary and at least 1 company secretary must ordinarily reside in Australia.

ASX Listing Rule 12.6 requires a listed entity to also appoint, and at all times have, a person responsible for communication with ASX. A nominated ASX communication person appointed on or after 1 July 2022 must have completed an approved listing rule compliance course and attained a satisfactory pass mark prior to appointment.*
